Representative Work

Mike resolves business and corporate related issues for his clients using a multi-faceted approach that draws experience from a number of Business Law Groups within the firm. He has a particular interest in the following areas:

  • Corporate and commercial strategic planning, organization of corporations, unlimited liability companies, limited liability companies, joint ventures, partnerships, limited partnerships and proprietorships
  • Dispute resolution and problem solving of inter-party organizational and operational disputes including negotiation of and implementation of reorganizations
  • International transactions involving the acquisition and divestiture of business enterprises within and outside of Canada
  • Mergers, acquisitions, divestitures and reorganization of business ventures
  • Incorporations, joint ventures, partnerships and franchises
  • Business organization governance planning and structuring including shareholder agreements, partnership agreements, limited partnership agreements and joint venture agreements
  • Negotiating business transactions
  • Negotiation and execution of contracts including loan arrangements
  • Advising on most operational aspects of business enterprises, including employment matters, contract matters, real and personal property leasing matters, products and service warranty matters
  • Developing strategies for clients concerning the purchase or sale of businesses
  • Providing assistance to business organizations to solve operational problems including difficulties relating to the dealings with banks and financial institutions
  • Business enterprise succession planning
  • General corporate law

Profile

Mike practices general corporate/commercial law and has experience in a wide range of corporate matters, from assisting start-up companies with all facets of their business, to advising on multimillion-dollar domestic and international transactions. He acts for both vendors and purchasers in mergers and acquisitions involving both public and private companies.

Mike has been both an instructor and an evaluator for the Law Society of Alberta Bar Admission Course in addition to speaking at CLE seminars for the legal community. Mike regularly gives private seminars to clients and other interested groups in a wide range of subjects touching on the operations of business enterprises. He has served on boards of various private corporations, charitable and non-profit community and sport organizations, as well as previously being a member of the Board of Directors of the Glenrose Provincial General Hospital for many years, including sitting as Chairman of the Finance Committee and Vice-Chairman of the Board.

Mike has been designated a “leading lawyer” by Lexpert and is listed by Best Lawyers in Canada in the area of Mergers and Acquisitions.
