The Opportunity:

Job Title: Corporate Annual Returns Specialist

Reports To: Corporate Department Lead

Location: Edmonton, AB

The Corporate Annual Returns Specialist, within the Corporate Department of Bryan & Co, is responsible for providing comprehensive support and expertise in handling annual returns for corporate clients. This role involves ensuring accurate and timely filing of annual returns and preparation of annual minutes for Alberta entities.

Education and Experience:

• CORES Level 1 certification;
• Demonstrated ALF database experience;
• Post-secondary education in Legal Studies or a related field considered an asset;
• Proven experience working in a corporate department within a law firm; and
• Demonstrated understanding of corporate compliance requirements, including
knowledge of annual returns filing processes, regulatory frameworks, and corporate
governance principles.

Key Responsibilities and Competencies:

  • Annual Returns Filing:
    • Prepare and file annual returns accurately and in a timely manner for various corporate entities, adhering to regulatory requirements
    • Stay up-to-date with changes in legislation and regulations pertaining to annual returns filing and implement necessary modifications to ensure compliance
  • Compliance Management:
    • Monitor and track deadlines for annual returns and ensure all filings are completed within the specified timeframes
    • Maintain a comprehensive database of filing deadlines, documents, and other relevant information to facilitate efficient and accurate compliance management
  • Collaborate with internal teams to obtain necessary information and
    documentation for annual returns filing
  • Documentation and Record-Keeping:
    • Maintain accurate and organized electronic and physical records of all
      Annual Return Proofs of Filling, annual minutes and related documents
    • Review and maintain corporate minute books, registers, resolutions, and
      other corporate records
    • Ensure proper documentation management and adherence to confidentiality
      policies
  • Communication and Support:
    • Collaborate with Corporate Department and internal stakeholders to address
      any issues or discrepancies related to annual returns filings
    • Provide guidance and assistance to clients offering proactive solutions and
      recommendations
